Terms of Service

By working with eDiye or using our website, you agree to the terms below.

1. Scope & Proposals

Before any client project begins, we agree on a written scope of work — detailing specific deliverables, milestone timelines, and fixed pricing. This is documented in a formal proposal, contract, or Figma canvas.

If additional tasks, features, or page scopes are requested mid-project that fall outside the agreed scope, we provide a transparent quote and obtain your written approval before doing the work. We will never surprise you with unapproved invoices.

2. Payment Terms & Invoicing

Unless agreed otherwise in writing, our standard terms are:

  • 50% upfront deposit to confirm project scheduling and reserve calendar availability.
  • 50% final payment upon completion and prior to final asset handover or live site transfer.

Final production assets, live domain transfers, and code access are released once final payment has cleared. We accept payment via direct bank wire transfer, Payoneer, or stablecoin cryptocurrency (USDC, USDT, Ethereum, Bitcoin).

3. Revisions & Approvals

Every phase of our design and development process includes defined revision rounds (typically 2–3 rounds per milestone).

Revisions are meant to sharpen and refine approved concepts. If stakeholder feedback fundamentally changes direction after prior written approvals, additional hours will be quoted transparently. We always inform you in advance.

4. Timelines & Collaboration

We work with speed and momentum, but exceptional craft requires active client participation. We establish a clear timeline and adhere to it — assuming feedback, copy assets, and approvals arrive within agreed timeframes.

If a client team goes unresponsive for more than 14 consecutive business days without prior notice, the project will be paused and placed on hold. A rescheduling fee may apply to reopen reserved studio slots.

5. Intellectual Property & Ownership

Once final invoice payment is received in full, all custom deliverables created for your project become your property.

This includes visual identity systems, interface design files, bespoke code repositories, custom animations, and documentation. You own your brand.

6. Async Communication Style

Most of our studio work happens asynchronously. We use Slack, email, Loom walkthroughs, and collaborative Figma boards to stay aligned without unnecessary meetings.

We reply to all client inquiries within 24–48 hours on business days. When real-time video syncs or strategy workshops are required, we schedule them intentionally.

7. Pauses & Cancellations

Either party may terminate a project with written notice. In the event of early cancellation, the client is invoiced only for work completed up to that date, and any unearned portion of prepayments is reconciled.

8. Warranties & Liability

We test and deliver all design work and code in good faith and with professional engineering standards. We provide a 30-day post-launch warranty period to fix any bugs or interface defects within the original scope.

eDiye Studio is not liable for indirect damages, business interruptions, or technical outages resulting from third-party hosting, platform changes, or modifications made by external developers after handover.

9. Confidentiality & NDAs

Everything you share with our team — including proprietary strategy, trade secrets, unreleased products, and customer data — is held in strict confidence. We are happy to execute a mutual Non-Disclosure Agreement (NDA) prior to project kickoff.

10. Portfolio Showcase Rights

We take pride in the brands we build. Unless explicitly agreed otherwise under an active NDA, we reserve the right to display non-confidential project deliverables in our portfolio, case studies, and social channels after public launch.
